Wollux hereby undertakes to give opportunity at its premises for any inspection of goods that may be necessary in connection with the procedure for their approval.<\/p>

\u00a0<\/p>

9.\u00a0COPYRIGHT<\/span>:<\/b> Designs, sketches, creations, scale models, and other models created by Wollux remain the sole property of Wollux and may not be reproduced without your written consent. * The purchase of a Wollux creation does not imply that the associated intellectual property rights are transferred to you. * Under no circumstances may Wollux be held liable for any claims regarding trademarks, designs, drawings, or patents filed by third parties in connection with orders that Wollux fulfills on behalf of the other party. In this context, Wollux exclusively fulfills the orders you place; you are hereby liable to third parties for any and all claims relating to intellectual property. * Wollux reserves the right to include its company texts, trademarks, abbreviations, or special marks and serial numbers on any medium originating from its workshops, either in combination or separately, in addition to the existing legal texts, even if the name of a publisher, intermediary, contract manufacturer, or advertiser is already indicated on the aforementioned media. It reserves the same right with respect to all Wollux packaging.<\/p>

10.\u00a0COMPLIANCE IN IMPLEMENTATION:<\/b><\/span> Performance in accordance with the agreement is guaranteed only subject to the proviso that deviations are permitted within certain limits, both with regard to quantity, quality, composition, color variations, strength, shrinkage, and shifts, as well as with regard to dimensions. You must inspect the quality and quantity upon delivery of the goods. Color consistency is guaranteed only on a per-item, per-dye-batch, and per-delivery basis. * Wollux cannot be held liable if colors do not match other color ranges. You may select these external, added elements only after receiving the fabrics dyed by Wollux. If you have selected certain ranges or added elements prior to the delivery of the fabrics manufactured by Wollux, this selection is at your own risk. In the event of combinations of products manufactured by Wollux, your counterparty must (or: should choose as\u2026 depending on the exact meaning)<\/i> Choose these combinations as specified by Wollux; in all other cases, you act at your own risk. You must always notify Wollux that items need to be coordinated, and you are required to order the items that need to be coordinated at the same time. * For custom-made products, Wollux is not liable for how the material you supply behaves during various processes related to preparation, printing, or finishing. * With regard to the reproduction of \u201cexclusive\u201d color shades, you must accept that certain deviations may occur as a result of the technical requirements that must be met in the various reproduction and production processes and for the various media used; this applies in particular to pigment dyes and materials made from nonwoven fabrics. * For promotional printed materials, a quantity deviation of 10% is permissible for orders of fewer than 50 units; for banners made from nonwoven fabric, this permissible deviation is 20%.<\/p>

11.\u00a0LIMITATION OF LIABILITY:<\/span> If Wollux has provided a \u201cgreen light for printing\u201d\u2014whether on a proof or on the design itself\u2014this releases Wollux from all liability for any errors or omissions that may be discovered after printing. Author\u2019s corrections are at your expense. This approval for printing will be issued only if you expressly request it. If, due to the delivery deadline you requested, it is not feasible to provide a \u201cgo-ahead for printing,\u201d or if you do not request a \u201cgo-ahead for printing,\u201d the printed materials will be produced at your own risk; if errors are discovered after printing, you are not entitled to refuse delivery of the goods in question. At most, you may negotiate the price of the delivered goods in relation to the severity of the error, without Wollux being obligated to supply you at a price lower than the cost price. * Designs, printing plates, layouts, films\u2014in short: all materials used by Wollux to fulfill an order\u2014are part of Wollux\u2019s assets and remain its sole property, unless otherwise expressly agreed in writing in advance. However, Wollux is not obligated to store these resources unless the additional costs associated with their storage are reimbursed on a pro rata basis. * The materials belonging to you remain in the workshops of Wollux or its clients and are stored there at your risk or at the client\u2019s risk. * Wollux\u2019s liability shall in no event exceed the value of the services it has provided, with the invoice amount, excluding VAT and costs, serving as the basis for calculation. * If a treatment is performed on a medium supplied by you that was not produced by Wollux, you must inform Wollux of all aspects or characteristics that could affect the requested treatment.<\/p>

12.\u00a0COMPLAINTS AND RETURNS:<\/span> Any complaints not related to hidden defects are void if you have not reported them by certified mail within eight days of receiving the goods. Once the aforementioned period has expired, no further complaints are possible. * Once you have begun using the delivered goods or any part thereof, this constitutes legal acceptance. Receipt of the delivery slip or shipping notification serves as proof that you have actually taken delivery of the goods. If you discover any defects in certain parts of the goods, this does not mean that you can object to the delivered goods in their entirety. Such defects may only result in a price reduction; they do not give rise to any obligation to replace the goods or pay compensation. * Wollux has the right to offer a repair or exchange. If it is duly established that a complaint is justified, price reductions and compensation may never exceed the amount of the disputed delivery. * Wollux is liable for hidden defects only if it was aware of such defects. This is not presumed in advance; you must demonstrate that Wollux was aware of the hidden defects in question. * No returns may be made without Wollux\u2019s written consent. If Wollux grants you such consent, this does not in any way constitute an admission of liability. All returns of goods must be shipped by you postage-paid and free of charge, in the original packaging. * All goods taken back by Wollux lose their exclusive status; they may be sold immediately by Wollux, without any restrictions regarding time, location, or price.<\/p>

13. CANCELLATION OR TERMINATION: If you cancel or terminate an agreement, Wollux is entitled to compensation of at least 50% of the total price or of the obligations to which you have committed under Article 1184 of the Civil Code.<\/p>

14. CANCELLATION \u2013 DECLARATION OF EXPIRATION OF THE PAYMENT TERM: In the event of any occurrence that poses a risk that you If the buyer becomes insolvent, Wollux is entitled, without first seeking a court order, to terminate the purchase agreement and, if necessary, to obtain restitution of the goods in question (without prejudice to the<\/span>(as provided in Articles 5 and 6), or the agreed deadline for payment of the<\/span> declare the purchase price void<\/span>n.<\/p>

15. POSTER TAX: Wollux will apply this tax only if you have requested it in writing, and only on the condition that you have paid the applicable amount in advance, at the time of placing the order. 16. JURISDICTION AND GOVERNING LAW:<\/b> Our contractual relationships are governed exclusively by Belgian law. Any dispute involving an amount of less than 50,000\u20ac falls under the exclusive jurisdiction of the courts of the judicial district of Tournai (Belgium). Any dispute involving an amount equal to or greater than \u20ac50,000 will be resolved in accordance with the CEPINA rules. The tribunal will consist of one judge, unless the dispute involves an amount exceeding \u20ac500,000; in that case, the tribunal will consist of three judges. The language of the proceedings is French.<\/p>
